Terms of Service

These Terms of Service ("Terms") govern your use of dilaca.com and the Dilaca Studio AI platform at ai.dilaca.com (the "Service") provided by Dilaca Project Investment and Development Company Limited ("Dilaca", "we", "us"), enterprise code 0402159262, Vietnam. By creating a Brand Workspace or using the Service you agree to these Terms.

1. THE SERVICE

Dilaca Studio AI is an AI Agency Operating System: a CMO agent coordinates specialist AI agents to research, plan campaigns, draft content and visuals, schedule publishing and support customer-care conversations for your brand. The Service is provided as software; Dilaca is not a marketing agency and does not guarantee business results.

2. ACCOUNTS

You must be at least 18 and authorised to act for the business you register. Keep your credentials confidential; you are responsible for activity under your workspace. Notify [email protected] immediately of any unauthorised use.

3. PRIVATE BETA

The Service is in Private Beta. Features, limits and pricing may change as the platform matures. We will notify active customers before material changes and will not reduce credits you have already purchased.

4. PLANS, CREDITS AND PAYMENT

Plans are billed monthly in Vietnamese dong (VND) unless otherwise stated. AI usage is metered in AI Credits; each AI action reserves credits before it runs and settles the actual cost afterwards. Purchased credits are non-refundable except where required by law or where the Service failed to deliver the action. A free trial grants limited credits and may be ended at any time. Payments are handled by licensed payment providers; Dilaca does not store full bank or card credentials.

5. CONNECTED CHANNELS

When you connect Facebook, Instagram, Zalo, TikTok or other channels, you authorise Dilaca to act on your behalf within the permissions you grant and the platform's own terms. You are responsible for complying with those platforms' policies. Dilaca may suspend a connection that creates platform-policy risk.

6. HUMAN APPROVAL

The Service prepares drafts. Posts, advertisements, customer replies and other outbound actions are executed only after an approval action by the workspace owner or an authorised member. You are responsible for reviewing AI outputs before approval; AI outputs may be inaccurate or unsuitable.

7. YOUR CONTENT

You own the content, brand assets and data you upload. You grant Dilaca a licence to process them solely to provide the Service. Outputs generated for your workspace are yours to use. You warrant that you have the rights to the material you upload and that it does not infringe third-party rights.

8. ACCEPTABLE USE

You may not use the Service to produce unlawful, deceptive, harassing or infringing content; to send spam; to scrape platforms in breach of their terms; to attempt to access other workspaces; or to reverse engineer or resell the Service. We may suspend workspaces that breach this section.

9. DILACA PROPERTY

The Service, its software, agent designs, visual identity and documentation are the property of Dilaca and its licensors. Copying, redistributing or reusing Dilaca brand assets without written permission is prohibited. See also the AI & Intellectual Property policy on this site.

10. THIRD-PARTY AI PROVIDERS

The Service routes requests to third-party AI model providers (including Anthropic and OpenAI) through the Dilaca Model Gateway. Availability and quality of outputs depend partly on those providers. Their acceptable-use policies apply to content generated through them.

11. AVAILABILITY AND SUPPORT

We aim for high availability but do not guarantee uninterrupted service during Private Beta. Support is available at [email protected] during Vietnam business hours.

12. DISCLAIMER AND LIABILITY

The Service is provided "as is". To the fullest extent permitted by Vietnamese law, Dilaca is not liable for indirect or consequential loss, lost profits or lost data, and our total liability for any claim is limited to the fees you paid to Dilaca in the 3 months before the claim.

13. TERMINATION

You may close your workspace at any time. We may suspend or terminate a workspace for breach of these Terms or legal requirements. On termination you may export your data for 30 days, after which it is deleted as described in the Privacy Policy.

14. GOVERNING LAW

These Terms are governed by the laws of Vietnam. Disputes will first be resolved amicably; failing that, by the competent court of Vietnam.

15. CHANGES

We may update these Terms. Material changes will be announced to active customers at least 7 days before they take effect.
